This Service Provider Agreement (“Agreement”) applies to all businesses and individuals (“Service Provider”, “you”, “your”) who submit, manage, or publish a listing on the Menopause Resource Hub platform (“Platform”).
By submitting a listing, creating an account, or maintaining a presence on the Platform, you agree to be bound by this Agreement in addition to the Platform Terms and Conditions.
- Platform role and scope
Owner: Menopause Resource Hub Pty Ltd (ACN 678 886 407, ABN 93 678 886 407) (“we”, “us”, “our”).
The Platform is a curated digital directory and information platform. We:
- Do not provide medical, health, therapeutic, financial, or legal advice
- Do not endorse, recommend, certify, or guarantee any Service Provider
- Do not act as an agent, representative, or intermediary in transactions
- Do not monitor or supervise services provided by you
All services offered via listings are provided independently by Service Providers.
Nature of the platform
Menopause Resource Hub is a platform designed to connect perimenopausal and menopausal women with relevant service providers.
The Platform may include paid listings, featured placements, sponsorships, or advertising opportunities that are relevant to its audience. All approved providers meet the same eligibility standards. Paid tiers affect visibility and profile features only.
Listing tiers. Menopause Resource Hub currently offers the following listing tiers for approved providers: Free Standard Listing, Verified Provider, and Featured Listing (together, Paid Tiers refers to Verified Provider and Featured Listing). Tier differences relate to visibility, placement, and profile features only, not endorsement or recommendation, and do not involve a higher level of eligibility or credential verification than any other approved listing.
Regardless of any commercial arrangement, inclusion on the Platform does not constitute endorsement, recommendation, certification, or verification of outcomes, qualifications, or services. Paid placement, advertising, or sponsorship affects visibility or presentation only and does not influence editorial review, approval decisions, or content standards.
- Eligibility and authority
You warrant that:
- You are at least 18 years of age
- You have full authority to enter into this Agreement
- You are legally permitted to operate your business in Australia or relevant jurisdictions
- Listing accuracy and responsibility
Health claims, testimonials, and outcomes
You must ensure that all content included in your listing, including descriptions, testimonials, images, case examples, and linked materials, is accurate, lawful, and not misleading.
Without limitation, you must not:
- Make claims that your services diagnose, treat, cure, or prevent menopause or any medical condition, unless such claims are lawful, evidence-based, and within your regulated scope of practice
- Use absolute or guaranteed outcome language such as “cure,” “fix,” “eliminate,” or “guaranteed results”
- Present testimonials or endorsements that imply guaranteed, typical, or universal outcomes
- Use before-and-after comparisons, transformation claims, or similar representations that could reasonably create unrealistic expectations
- Publish testimonials or claims that are false, exaggerated, unverified, or inconsistent with Australian Consumer Law or applicable advertising standards
If you provide a regulated health service, your listing must not include any testimonial or client statement about the clinical aspects of your service (including symptoms, diagnosis, treatment, or outcomes), consistent with the Health Practitioner Regulation National Law. Where a testimonial or statement about a non-clinical aspect of a service is included (for example, communication style or overall experience), it must reflect an individual’s own experience only and must not be presented as a typical, guaranteed, or expected outcome.
We reserve the right to edit, request clarification, or remove any content that, in our reasonable opinion, breaches these requirements or poses legal, reputational, or user trust risk. These obligations apply equally to all listings, including free, paid, featured, sponsored, or advertised placements.
- Insurance and compliance (provider-attested)
You warrant that you:
- Hold appropriate and current business, professional, and public liability insurance relevant to your services, including professional indemnity where applicable.
- Maintain all licences, registrations, and approvals required by law.
Insurance and compliance are provider-attested. We do not independently verify coverage or monitor ongoing compliance.
- Approval and ongoing review
- All listings are subject to manual review prior to publication.
- Approval does not constitute endorsement or verification. Approval is not influenced by payment, advertising participation, or sponsorship status.
- We may request clarification or supporting information at any time.
Grounds for suspension or removal, and any change to listing tiers, publication criteria, or the availability of the Free Standard Listing, are set out in Clauses 6 and 7.
- Grounds for suspension or removal
We may suspend, edit, or remove your listing immediately and without notice where we reasonably believe:
- information is false, misleading, deceptive, or unverified;
- you have failed to maintain required insurance or legal compliance;
- a complaint alleges harm, unethical conduct, or unlawful behaviour;
- your conduct presents a risk to users or the Platform;
- fees are unpaid or a renewal fails;
- your listing includes a prohibited health claim, testimonial, or representation under Clause 3; or
- your listing is inactive, outdated, or abandoned.
No compensation or refund is payable for suspension or removal for any of the reasons above.
Where we suspend or remove a paid listing for a reason other than those listed above (for example, discontinuing the Free Standard Listing option and you do not upgrade to an available paid tier), we will, where reasonably practicable, give at least 14 days’ notice and the option to upgrade, and will refund a pro-rata amount of any fees paid for the unused portion of your current term.
- Fees, subscriptions, and renewals
- The Platform offers three listing tiers: Free Standard Listing (Unclaimed), Verified Provider, and Featured Listing (as set out on our Pricing and Listing Options page). Free Standard Listings include basic/limited features. Paid tiers provide enhanced visibility and functionality.
- The Free Standard Listing option is offered at our discretion and may be limited, paused, or discontinued at any time (including where required to manage directory quality and operations). Where reasonably practicable, we will give notice and the option to upgrade before an affected listing is unpublished.
- Fees may be charged monthly, annually, or as one-off payments (as displayed at checkout). Annual subscriptions may be offered at a discounted rate.
- Renewal notices will be issued prior to renewal.
- Any change to pricing or plan inclusions will not apply to a subscription term you have already paid for, and will only take effect from your next renewal. We will give at least 30 days’ notice of a price increase before it applies to your renewal, and you may cancel without penalty if you do not wish to continue at the new price.
- No refunds
- Fees are non-refundable once a listing is approved and published, except where Clause 6 provides for a pro-rata refund, or where required under the Australian Consumer Law.
- No refunds are provided for change of mind or your own decision to cancel early.
- This clause does not limit rights under Australian Consumer Law.
- Advertising and sponsorship
You may be offered optional advertising or sponsorship opportunities, including:
- Featured listings
- Website placements
- Newsletter promotions
Advertising, featured placement, or sponsorship does not affect editorial standards, approval requirements, or content compliance obligations. Advertising and sponsorship do not guarantee enquiries, bookings, or commercial outcomes.
We reserve the right to remove or amend advertising or sponsored content where required to protect users, maintain standards, or manage risk.
- Intellectual property licence
You retain ownership of your business name, logo, and content.
By submitting content, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, display, and publish your submitted materials (including logos, images, and screenshots) for:
- Operating the directory
- Marketing and promoting the Platform
- Reporting and promotional activities
This licence continues after your listing is removed, to the extent needed for materials already published (for example, archived reports or promotional materials).
- Data and privacy
- You consent to the collection and use of your information in accordance with our Privacy Policy.
- Only aggregated and anonymised statistics may be shared.
- No direct user contact details will be disclosed.
- Limitation of liability
To the maximum extent permitted by law, and except as set out below:
- we are not liable for loss, damage, or claims arising from your services, listings, or user interactions; and
- our total liability arising out of or in connection with this Agreement is limited, at our election, to re-supplying the relevant service or to the total fees you paid us in the 12 months before the claim arose.
This limitation does not apply to our fraud, wilful misconduct, or breach of confidentiality, or to any liability that cannot lawfully be excluded (including under the Australian Consumer Law).
- Indemnity
You indemnify us against third-party claims, losses, damages, or liabilities arising directly from:
- your services or business activities;
- your breach of this Agreement or the Platform Terms; or
- your misleading, unlawful, or negligent conduct,
to the extent reasonably foreseeable and not caused or contributed to by our own negligence, breach, or unlawful conduct.
- Termination
- You may terminate your listing at any time.
- We may suspend or terminate your access in accordance with Clause 6.
- Upon termination, your listing content will be removed.
- Data will be deleted except where legal retention is required.
- Governing law and jurisdiction
This Agreement is governed by the laws of Victoria, Australia.
The courts of Victoria have exclusive jurisdiction.
- Agreement updates
We may update this Agreement from time to time. Where a change is material and you hold an active paid subscription, we will give at least 14 days’ notice before it applies to you. If you do not agree to a material change affecting your paid subscription, you may cancel in accordance with Clause 7 before the change takes effect. Continued use of the Platform after that notice period constitutes acceptance.
Where there is any inconsistency between these Guidelines, the Service Provider Agreement, and the Platform Terms and Conditions, the Platform Terms and Conditions prevail.
